Terms and Conditions for Use of WEAP


The following is a copy of the terms and conditions for the use of the WEAP software system - a Windows-based software tool developed and managed by SEI, that can be downloaded from the WEAP web site.

These terms and conditions are displayed to the user during the WEAP software installation process, and all users of WEAP must accept these terms and conditions.

Introduction

Upon acceptance of the following Terms and Conditions, the Stockholm Environment Institute ("SEI") grants you the rights to install and use the Water Evaluation and Adaptation Planning system ("WEAP").

All copies of WEAP received by or for the user pursuant to the authority of these Terms and Conditions remain the property of SEI.

The LOCKED version of WEAP (the state in which it is distributed, and which disallows the ability to save changes to datasets or to use the API) is intended only for evaluation purposes. You may not use it for any other purposes including research, analysis, consulting and teaching. You may not make use of the WEAP Application Programming Interface (API) to integrate the LOCKED version into any other software systems.

The UNLOCKED version of WEAP may only be used by those with a valid WEAP license, which must be obtained from SEI. No copies of the information required to unlock WEAP may be shared with any other individual or organization. By using the UNLOCKED software, you confirm that you have obtained a license properly and that your user information as recorded at https://www.weap21.org is up to date and correct. You also confirm that you are lawfully entitled to represent yourself as an employee of the organization that has obtained the license.

WEAP may not be modified, abridged, decompiled, disassembled, or reverse engineered. By using WEAP, you agree that you are solely responsible for the data, assumptions, choice of methods and results created through any and all uses of WEAP.

You may not integrate WEAP into any multi-user, client-server or web-based application without prior explicit written permission from SEI.

The names "Water Evaluation and Adaptation Planning" and "WEAP" must not be used to endorse or promote products derived from WEAP. Products derived may not be called "WEAP" nor may any part of the "WEAP" name appear within the name of derived products.

No part of these Terms and Conditions may be modified, deleted or obliterated.

Privacy and Data Collection

By using WEAP, you agree that SEI may collect data about your use of WEAP including: which features you use; information about any errors that occur while using WEAP; technical information about the computer and operating system (OS) within which WEAP is installed including its CPU, RAM, OS version, IP, MAC address, etc. and meta data about the WEAP areas you work on such as the names of areas and scenarios. We keep this data private and will not share it with anyone outside of SEI. We use it to analyze and improve WEAP and to ensure that those using WEAP are doing so with a valid license. We may also share anonymized and aggregated information with our funders or the wider WEAP community. Apart from meta data, we do not and will not access the data and information contained in any WEAP areas you work on without your explicit prior permission. We do not and will not obtain data about you from third parties (including other companies).

You agree that, without notice, WEAP may cause a computer on which it is installed to automatically connect to the Internet and communicate with SEI servers for purposes such as license validation, providing you with additional information and features, or checking for updates.

Waiver of Warranty

SEI AND ITS OFFICIALS, REPRESENTATIVES, AND EMPLOYEES, INCLUDING ITS CONTRACTORS AND SUPPLIERS, PROVIDE WEAP "AS IS," WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY, AND SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL SEI AND ITS OFFICIALS, REPRESENTATIVES, AND EMPLOYEES, INCLUDING ITS CONTRACTORS AND SUPPLIERS, BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF WEAP REGARDLESS OF CAUSE, INCLUDING NEGLIGENCE.

SEI'S LIABILITY, AND THE LIABILITY OF ITS OFFICIALS, REPRESENTATIVES, AND EMPLOYEES, INCLUDING ITS CONTRACTORS AND SUPPLIERS, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE REPLACEMENT OF CERTIFIED COPIES OF WEAP WITH IDENTIFIED ERRORS CORRECTED.

Indemnity

AS A VOLUNTARY USER OF WEAP YOU AGREE TO INDEMNIFY AND HOLD SEI, AND ITS OFFICIALS, REPRESENTATIVES, AND EMPLOYEES, INCLUDING ITS CONTRACTORS AND SUPPLIERS, HARMLESS FROM ANY CLAIM OR DEMAND, INCLUDING REASONABLE ATTORNEY'S FEES, MADE BY ANY THIRD PARTY DUE TO OR ARISING OUT OF YOUR USE OF WEAP OR BREACH OF THIS AGREEMENT OR YOUR VIOLATION OF ANY LAW OR THE RIGHTS OF A THIRD PARTY.

No Transfer

YOU MAY NOT RENT, LEASE, SELL, SUBLICENSE, ASSIGN, OR TRANSFER ANY RIGHTS TO THE USE OF WEAP, OR AUTHORIZE ANY PORTION OF WEAP TO BE COPIED ONTO ANOTHER INDIVIDUAL OR LEGAL ENTITY'S COMPUTER EXCEPT AS MAY BE EXPRESSLY PERMITTED HEREIN.

Export

WEAP is subject to the U.S. Export Administration Regulations and other export laws, restrictions, and regulations. You agree to comply with these laws and further agree that you will not ship, transfer, export, or re-export WEAP, directly or indirectly, to: (a) any countries that are subject to US export restrictions; (b) any end user whom you know or have reason to know will utilize it for any prohibited purposes; or (c) any end user who has been prohibited from participating in U.S. export transactions by any federal agency of the U.S. government. You represent and warrant that you: (a) are not a citizen of, or located within, an Embargoed Country; (b) will not use WEAP for a Prohibited Use; and (c) are not a Sanctioned Party. All rights to use WEAP are granted on condition that such rights are forfeited if you fail to comply with the terms of this Agreement.

Assent

Choosing the Accept option (when installing WEAP) indicates that you voluntarily accept these Terms and Conditions. If you decline these terms and conditions you must not continue to install or use WEAP.
